GENERAL TERMS AND CONDITIONS OF SALE

Quotations and supplying are to be intended Ex-Factory VIALE SISTEMI SRL, in Taggia IM, packaging at cost price; returned packaging will not be accepted.
2. Minimum invoiceable amount Eur 150,00.
3. VIALE SISTEMI SRL reserves the right at any moment, even after settling the agreement, to modify the selling prices, should the prices of the raw material and/or components, manual labor or any other related cost of any type (fiscal etc.) increase significantly.
4. VIALE SISTEMI SRL reserves the right to modify their own products in order to optimize their quality and functionality.
5. VIALE SISTEMI SRL will not accept orders to be dispatched beyond four months from the request, subject to exceptions to be mutually agreed upon in writing.
6. VIALE SISTEMI SRL reserves the right to accept or deny order cancellations of standard orders: if accepted VIALE SISTEMI SRL might demand a penalty equal to the 10% of the order value.
7. In case of special manufacturing (custom-made goods) the special written terms agreed upon by the parties will be binding, nonetheless as a general agreement, these orders CANNOT be cancelled by the Buyer.
8. The goods returned because of errors made by VIALE SISTEMI SRL, and as such expressly acknowledged, will be refunded; in any other case the returning of the goods will be previously agreed upon by the parties in writing and delivered DAP VIALE SISTEMI SRL premises by the Buyer.
9. In the event the Buyer fails to collect the standard goods they ordered, after 20 (twenty) days from the agreed time VIALE SISTEMI SRL reserves the right to rescind the contract and therefore will be free to sell said goods to a third party; moreover, in this case the Buyer must pay a penalty equal to 20% of the value of the goods to VIALE SISTEMI SRL, due for repackaging: subject to the right of VIALE SISTEMI SRL to a more significant compensation for damage.
10. In the event the Buyer fails to collect the special goods they ordered, after 20 (twenty) days from the agreed time of pick-up VIALE SISTEMI SRL reserves the right to dispatch said goods to the Buyer’s or, should they refuse, to a public storehouse at the Buyer’s expenses, under Art. 1514 C.C. (Civil Law Code).
11. It is understood that the ownership of said goods is transferred to the Buyer only at the moment of the total payment of the amount due. Until that moment, therefore, the Buyer that collects the goods without paying for them, will be considered only the holder and keeper of those, owing al related charges, but without any corresponding right.
12. Any complaints must be in writing otherwise they will be void, in any case within 15 days from the delivery date of the goods or the claim will be inadmissible. In any case, presenting complaints or objections gives no right to retain and/or reduce the pending payments.
13. In case of late payment, delay penalties will be applied at the bank interest of +5%, with no need of a certified written notification and always without prejudice to the Seller’s right of compensation for any further damages that might result.
WARRANTY TERMS & CONDITIONS
14. The products and components manufactured by VIALE SISTEMI SRL are covered by a twelve (12) months warranty from purchase date, either for builders or for suppliers, and exclusively on manufacturing or workmanship defects; said warranty does not cover improper or erroneous use out of the reason of the part’s designing and engineering.
15. The warranty is stayed by right if:
I. The product has been opened, disassembled or returned bearing signs of bumps or tampering.
II. The mounting instructions and the electric connections instructions have been disregarded.
III. If non-accredited electrical tools have been used.
IV. If the electric accessories and components were used out of respect of the diagrams and types of connection prescribed by the manufacturer.
GENERAL TERMS AND CONDITIONS OF SALE
16. The VIALE SISTEMI SRL Warranty applies only to the products manufactured by the Seller and not to the project they become part of, therefore VIALE SISTEMI SRL’s responsibility is limited to the sale price of the faulty element or component.
17. The goods subject to complaint are always repaired in our workshop, therefore said goods must be delivered DAP to our premises, with no extra charges whatsoever. The returned goods remain in VIALE SISTEMI SRL’s possession, and they will have no obligation of intervention at the place of defect/malfunctioning.
18. The Buyer is relieved from the obligation to return the faulty product when both the following conditions occur: 1. the element or component was destroyed as an outcome of the defect covered by warranty; 2. VIALE SISTEMI SRL had to be reasonably aware of the defect at the time the sale occurred. In this instance VIALE SISTEMI SRL must replace said element or component even without it being previously returned.
19. VIALE SISTEMI SRL did its best to present accurately its products, either in its hardcopy and online catalogue (website: www.vialesistemi.com) - illustrations, captions, drawings, photographs and descriptions - nonetheless VIALESISTEMI SRL specifies that the given data have informative purposes only and do not bind VIALE SISTEMI SRL to the full compliance between said data and its products.
20. The herewith detailed Warranty is the only one acknowledged by VIALE SISTEMI SRL with the buyers of its products. No one is allowed to take on themselves any responsibility, on VIALE SISTEMI SRL’s behalf, as related to the sale or use of its products.
POLICY IN ACCORDANCE WITH D.LGS No. 196/2000 ON PROTECTION OF PERSONAL DATA.
21. In accordance with the D. Lgs n. 196/2000 the Buyer must be apprised that their data are managed by us lawfully and respectfully with the only intent to allow the business relationship between the parties, as related to our activity. Moreover, be apprised that the holder of the data is the present company, and that the Buyer can avail themselves of the rights granted by the cited legislation.
DECLARATION OF CONFORMITY
22. VIALE SISTEMI SRL certifies that all the products manufactured and traded by said company, in accordance with the specifications, conditions and contract requirements as per its order confirmations, are conform to the specifications reported on the present catalogues or to the drawings featuring them.
23. The Quality Management System in VIALE SISTEMI SRL is certified ISO 9001 by ICIM – Certificate No. 0868/5 since 1997.
24. By reason of VIALE SISTEMI SRL’s engaging in a continuous activity of Research and Development in order to improve constantly the quality of its products, VIALE SISTEMI SRL reserves the right to modify, at any time, even without any prior notice, the dimensions, handiwork and technical characteristics of the existing products. It is for this reason, too, that VIALE SISTEMI SRL invites you to compare the commercial information available on our hardcopy or online catalogues (website: www.vialesistemi.com), or to contact our technical office if you have any doubts.
INDUSTRIAL AND INTELLECTUAL PROPERTY
25. All the drawings and charts in the catalogue VIALE SISTEMI SRL or on the website www.vialesistemi.com are originals and therefore property of VIALE SISTEMI SRL. They are safeguarded by all the legal instruments that protect the intellectual property and by the Law on competition and copyright. It is forbidden to reproduce not only the products, but the drawing, photograph, technical text, etc. as well, without citing the original source and without written authorization by VIALE SISTEMI SLR.
JURISDICTION
Should any dispute arise, the only competent Court is that of Sanremo (IM).
